These Terms govern your access to and use of the Sourcra website, web application and related services (the "Service"), provided by Sourcra ("Sourcra", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company, you confirm that you are authorized to accept these Terms for it, and "you" refers to that company.
1. The Service
Sourcra helps businesses find manufacturers and suppliers. It interprets your searches with AI, compiles and verifies supplier information from public and third-party sources, shows results as lists and on maps, calculates distances and routes, runs several searches in parallel, and contacts suppliers on your behalf — from a Sourcra address or from an email or messaging account you connect — and organizes their replies. The Service is in active development: features may change, be added or be removed, and some may be labeled beta or early access.
2. Accounts and eligibility
- Sourcra is for companies only; we do not offer accounts to individuals for personal use. Register with a business email address on your company's own domain — personal email addresses (such as gmail.com, outlook.com or qq.com) are not accepted. If your company does not use its own domain, contact support@sourcra.com to verify it.
- You must be at least 18 and authorized to act for your company.
- We may verify that an account belongs to a company and refuse or close accounts that do not.
- Give accurate account information and keep it up to date.
- Keep your sign-in credentials secure; you are responsible for activity under your account.
- Tell us promptly at support@sourcra.com if you suspect unauthorized use.
- You confirm that you and your company are not located or organized in a country or region subject to comprehensive U.S. sanctions, and are not listed on, or owned or controlled by anyone listed on, a U.S. government restricted-party list such as the OFAC Specially Designated Nationals List.
3. Your use of the Service
You may use the Service and its results for your internal business purposes, such as finding, evaluating and contacting suppliers. You are responsible for your searches, your content and the decisions you make with the results.
4. Supplier information and AI output
Sourcra finds suppliers with AI, checks what it can against public and third-party sources, and shows you the evidence it found for each one. Even so, supplier information can be incomplete or out of date and AI can make mistakes, so treat what you see as the starting point for your own checks, not a guarantee. Sourcra can also request certificates, product details and other documents from suppliers for you; those documents come from the supplier, and Sourcra does not guarantee that they are authentic or accurate unless it states that it has verified them. A supplier's appearance in Sourcra — including any certification, contact detail or verification indicator — is not an endorsement or guarantee by Sourcra of that supplier's identity, quality, capabilities, licenses, certifications or compliance.
Before you place an order, make a payment or share confidential information, verify the supplier yourself, including its certifications, licenses, and sanctions and export-control status. Maps, distances, routes and logistics estimates are approximate. Sourcra does not provide legal, financial or compliance advice.
5. Dealings between buyers and suppliers
Sourcra is a platform that connects buyers and suppliers and carries their communication, including sending messages on a buyer's instructions — from a Sourcra address or from the buyer's own account — to request information such as product range, certificates, quotes, quantities and logistics details. Those messages are sent on the buyer's behalf, and the buyer decides what they say, directly or through the templates and instructions the buyer sets. Sourcra does not negotiate prices, make or accept offers, place orders or handle payments for anyone, and it does not act as anyone's broker. It is not a party to any quotation, order, contract, payment or other transaction between a buyer and a supplier; any agreement they make is solely between them. Sourcra is not responsible for product quality, safety, delivery, payment, fraud, disputes or any other aspect of those dealings. Buyers and suppliers are each responsible for their own due diligence.
6. Messages sent through Sourcra
When you ask Sourcra to contact suppliers, you authorize it to send the messages you approve, or that it sends within the instructions and limits you set, to the recipients you choose — from a Sourcra address that names your company (the default) or from an email or messaging account you connect — and to receive and process the replies. For those messages:
- Whichever way they are sent, you are responsible for their content and for having a lawful basis to contact each recipient.
- You must comply with applicable laws on commercial messages and data protection (such as CAN-SPAM, CASL, the GDPR and ePrivacy rules) and with the terms and messaging policies of the provider.
- You must not use the Service for unsolicited bulk messages, spam, misleading content or harassment.
- For messages sent from a Sourcra address, Sourcra adds the sender information the law requires (such as a postal address and a way to opt out) and may review or decline to send a message that breaks these Terms.
- We may apply sending limits and may pause sending to protect recipients, your connected accounts or the Service.
7. Notifications and communications from Sourcra
By creating an account you agree to receive service communications from Sourcra electronically — by email and in the application — and that these satisfy any legal requirement that communications be in writing. Everything else is optional and needs your permission:
- Marketing emails — only with your consent where the law requires it. You can unsubscribe from any marketing email.
- Text messages (SMS) — if you give us your phone number and opt in, you agree to receive text messages from Sourcra at that number for the purposes you selected. Consent is not a condition of using the Service. Message frequency varies; message and data rates may apply. Reply STOP to cancel and HELP for help. Mobile carriers are not liable for delayed or undelivered messages.
- Phone calls — only if you ask us to call you or agree to be contacted by phone.
- Browser, in-app and messaging-app notifications — only after you allow them, and you can turn them off at any time.
Keep your contact details up to date and tell us if a phone number you gave us is no longer yours. How we handle this data is described in our Privacy Policy.
8. Acceptable use
You must not:
- use the Service for anything unlawful, or in violation of sanctions or export-control laws;
- scrape, bulk-export, copy or resell the Service's supplier information as a dataset or a competing product;
- reverse engineer, probe or interfere with the Service, or bypass its limits or security;
- access it with automated means other than features we provide;
- use the Service or its output to develop or train AI models that compete with the Service;
- upload confidential information or personal data you have no right to share, or sensitive personal data (such as health data or payment card numbers) that the Service does not need;
- impersonate anyone or misrepresent your identity or affiliation to suppliers;
- upload malicious code or content that infringes others' rights.
9. Your content
You keep all rights in the content you submit and the messages you write ("Your Content"). You grant Sourcra a limited license to host, process and transmit Your Content only to provide and improve the Service. We may use Your Content in de-identified form — with your identity, your company's identity and personal data removed — to improve the Service, including to train Sourcra's own models. We never use data from your connected email or messaging accounts to train AI models, and our AI providers do not use Your Content to train their models. If you send us feedback, we may use it without obligation to you.
As between you and Sourcra, you own the output the Service generates for you from Your Content — such as drafted messages, quote comparisons and exports — and may use it for your business purposes. Supplier information included in that output remains subject to Sections 8 and 10. Because AI can produce similar output for other users, output that is not based on Your Content is not exclusive to you.
What suppliers send in reply is used to provide the Service to you and to keep Sourcra's internal supplier records accurate. Details and documents a supplier provides directly — such as product lists, catalogs, certificates or contact people — appear on that supplier's public Sourcra profile only if the supplier claims its profile and chooses to publish them. Your identity, requirements, quantities, logistics details and the quotes you receive stay private to your account and are never shown to other users. Suppliers see only what is in the messages sent on your behalf, such as your company name and your request.
A supplier that claims its profile accepts these Terms for its own use of the Service, confirms that it is authorized to act for that company, and decides what its profile shows. It confirms that the information and documents it publishes, including certificates, are accurate and that it has the right to share them, and grants Sourcra a license to display them in the Service. Sourcra may remove content that appears inaccurate, misleading or unlawful.
10. Our intellectual property
The Service, including its software, design, compiled supplier information and brand, belongs to Sourcra and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.
11. Third-party services
The Service relies on and links to third-party services, such as Google (sign-in), Cal.com (demo scheduling), AI model providers, map and location providers, and the email or messaging providers you connect. Your use of those services is governed by their own terms, and Sourcra is not responsible for them.
12. Fees
Sourcra is currently offered without charge as early access. If we introduce paid plans, we will show you the prices and payment terms before you are charged, and paid features will require your agreement to them.
13. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Sourcra disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and the accuracy, completeness or availability of the Service or any information in it. We do not guarantee any result, such as finding a supplier, receiving replies or obtaining a price. Features labeled beta or early access are provided for evaluation and may be less reliable or change without notice.
14. Limitation of liability
To the maximum extent permitted by law, Sourcra will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from or related to the Service or your dealings with other buyers or suppliers. Sourcra's total liability for all claims relating to the Service is limited to the greater of the amounts you paid Sourcra in the twelve months before the claim or US$100. These limits do not apply where the law does not allow them.
15. Indemnification
You will defend and indemnify Sourcra against third-party claims, damages and costs (including reasonable legal fees) arising from Your Content, the messages you send through the Service, your dealings with other buyers or suppliers, or your violation of these Terms or the law.
16. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or end your access if you breach these Terms, if required by law, or to protect the Service, other users or recipients. We may also discontinue the Service or any part of it; where reasonably possible, we will notify account holders in advance. When your account ends, your right to use the Service ends and we delete your data as described in our Privacy Policy; you can ask us for a copy of your data before you delete your account. Sections 4, 5, 9 through 17 and 19 survive termination.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice for at least 30 days. Any unresolved dispute will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Sourcra may also seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or to stop misuse of the Service, such as scraping. Nothing here limits rights you have under mandatory consumer or data protection laws.
18. Changes to these Terms
We may update these Terms. We will update the effective date above and, for material changes, notify account holders by email or in the application before they take effect. Continuing to use the Service after that means you accept the updated Terms.
19. General
- Entire agreement — these Terms and our Privacy Policy are the entire agreement between you and Sourcra about the Service and replace any earlier agreements or statements on that subject.
- Severability — if any part of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms stays in effect.
- No waiver — if we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment — you may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets.
- Force majeure — neither party is responsible for delays or failures caused by events beyond its reasonable control, such as outages of third-party providers, natural disasters, war, labor disputes or government action.
- Relationship — you and Sourcra are independent parties; these Terms do not create a partnership, agency, employment or fiduciary relationship. No one other than you and Sourcra has rights under these Terms.
- Notices — we send notices to the email address of your account. You can send notices to us at support@sourcra.com.
- Language and interpretation — if these Terms are translated, the English version controls. Headings are for convenience only, and "including" means "including without limitation".
